Item 5.02 (d) Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 26, 2023, the Board of Directors of Bank of Hawaii Corporation (the “Company”), in accordance with the provisions of the Company’s Certificate of Incorporation and By-Laws (the “Corporate Documents”), increased the authorized number of directors of the Company from 14 to 15. Further, in accordance with the provisions of the Corporate Documents, the Board of Directors of the Company elected Suzanne Vares-Lum to serve as independent director of the Company in the newly created directorship resulting from the increase in the authorized number of directors from 14 to 15, to serve until the annual election of directors at the Company’s next annual shareholder meeting, subject to her earlier death, disqualification, resignation or removal. Ms. Vares-Lum will serve as a member of the Company’s Nominating and Corporate Governance Committee and Fiduciary and Investment Management Committee. Ms. Vares-Lum will participate in the existing director compensation and restricted stock program, pro-rated to reflect the remaining balance of the annual director term.
